Terms of Service
Welcome to Holomovement. These Terms of Service ("Terms") govern your access to and use of the Holomovement membership platform, including member profiles, the directory, holons (groups), messaging, community visualizations, and related features (the "Service"). The Service is operated by Holomovement ("Holomovement," "we," "us," or "our"), a [TO CONFIRM: entity type — e.g., nonprofit / LLC / corporation] organized under the laws of the State of New York, United States.
Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
These Terms apply specifically to the Service. Use of our main website (holomovement.net) may be subject to separate terms.
1. Eligibility
You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into these Terms, and that your use complies with all applicable laws.
2. Your account
You are responsible for:
- Providing accurate information when creating and updating your profile
- Keeping your login credentials secure
- All activity that occurs under your account
Notify us at hello@holomovement.net promptly if you believe your account has been compromised.
You may have one account per person unless we approve otherwise. Accounts are non-transferable.
3. Your content
3.1 Ownership
You retain ownership of the content you submit to the Service — including your profile information, messages, images you upload, and holon content ("Your Content").
3.2 License to us
You grant Holomovement a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (for purposes such as image resizing, formatting, or generating AI-assisted content you request), create derivative works of, display, and distribute Your Content solely to operate, provide, and improve the Service — including displaying your profile and holon information to other members, and displaying content you choose to make public on public-facing parts of the Service.
This license ends when you delete Your Content or your account, except:
- Where Your Content has been shared with others (for example, direct messages) and retention is needed to preserve their experience; and
- Where retention is required by law or for legitimate backup or security purposes.
3.3 Your representations
You represent and warrant that:
- You own or have the necessary rights to Your Content
- Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights
- Your Content does not violate these Terms or applicable law
3.4 AI-assisted content
Parts of the Service use AI (from Anthropic and Google, via our n8n workflows) to generate suggested content — such as banner images, taglines, and structured seeking/offering tag classifications — from inputs you provide. You can review, edit, or remove AI-generated content, and you are responsible for the final content you publish to your profile. AI outputs may be inaccurate or imperfect; use your judgment before publishing.
4. Acceptable use
You agree not to use the Service to:
- Post content that is unlawful, defamatory, harassing, threatening, hateful, sexually explicit, or infringing
- Harass, abuse, stalk, or impersonate other members
- Send unsolicited messages (spam), chain messages, or marketing to other members without their consent
- Scrape, crawl, harvest, or bulk-download member information
- Attempt to gain unauthorized access to accounts, systems, or data
- Interfere with, disrupt, or overload the Service
- Reverse engineer, decompile, or circumvent technical measures, except to the extent permitted by law
- Use the Service to build a competing product, or to train machine learning models, without our prior written consent
- Misrepresent your identity, affiliation, or the accuracy of your profile
- Violate any applicable law or the rights of others
We may remove content or suspend accounts that we reasonably believe violate these rules.
5. Directory and member visibility
When you create a profile, your profile information is shown to other authenticated members through the directory, community globe, and related features. Holons you create have a visibility setting (public, private, or hidden) that you control.
You acknowledge that other members may view, copy, or remember information you make visible through the Service. Holomovement is not responsible for how other members use information you choose to share.
6. Paid features
6.1 Pricing and payment
Some features may require payment. Pricing, billing frequency, and any free-trial terms are shown at the point of purchase.
- Pay-what-you-can (PWYC) purchases — one-time charges for the amount you choose at checkout.
- Subscriptions — recurring charges at the interval disclosed at checkout (for example, monthly or annual) that automatically renew until you cancel.
Payments are processed by Stripe and PayPal. By making a purchase, you also agree to the applicable processor's terms. We do not store full payment card details on our servers.
6.2 Taxes
You are responsible for any taxes applicable to your purchase, unless we state otherwise at checkout.
6.3 Automatic renewal
Subscriptions renew automatically at the then-current rate for the applicable interval until you cancel. You can cancel at any time through your account settings or by emailing hello@holomovement.net. Cancellation stops future renewals; it does not automatically trigger a refund for the current period, unless required by law.
6.4 Refunds
Unless required by applicable consumer-protection law:
- PWYC and other one-time payments are non-refundable once the associated benefit has been delivered.
- Subscription fees are non-refundable for partial billing periods after the period has started.
You may request a refund by emailing hello@holomovement.net within 14 days of purchase, and we will consider requests in good faith. [TO CONFIRM: refund window — 14 days is a reasonable default; adjust per counsel.]
6.5 Price changes
We may change pricing for paid features. For subscriptions, we will give reasonable advance notice, and any new price applies at the next renewal after the notice period. If you do not accept the new price, you may cancel before the next renewal.
7. Third-party services
The Service relies on third-party providers, including Supabase, Webflow, n8n, Anthropic, Google, Stripe, PayPal, and GitHub Pages. Your use of the Service is also subject to those providers' terms where applicable. We are not responsible for the availability, practices, or content of third-party services.
8. Intellectual property
The Service — including its software, design, text, graphics, logos, and other materials (other than Your Content and third-party content) — is owned by Holomovement or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service except as permitted by these Terms or by applicable law.
9. Feedback
If you send us suggestions, ideas, or feedback about the Service, we may use them without restriction or obligation to you.
10. Termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate your access if:
- You materially breach these Terms
- Your conduct creates a material legal or security risk for Holomovement or other members
- We are required to do so by law
- We discontinue the Service
Sections relating to the license in Your Content (to the extent it survives under Section 3.2), payments already made, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.
HOLOMOVEMENT IS NOT RESPONSIBLE FOR THE CONDUCT, CONTENT, OR ACCURACY OF INFORMATION PROVIDED BY MEMBERS OR THIRD PARTIES.
Some jurisdictions do not allow certain warranty disclaimers; those disclaimers apply only to the extent permitted by law.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- HOLOMOVEMENT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
- OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow limitations on certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless Holomovement and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your use of the Service
- Your Content
- Your breach of these Terms
- Your violation of applicable law or the rights of any third party
14. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
You and Holomovement agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in [TO CONFIRM: county — e.g., New York County], New York, and we each consent to the personal jurisdiction of those courts, unless applicable law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date and, for material changes, provide notice (for example, by email or an in-Service notice) before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
16. Miscellaneous
- Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and Holomovement regarding the Service.
- Severability — if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver — our failure to enforce a right is not a waiver of that right.
- Assignment — you may not assign these Terms without our consent; we may assign them as part of a corporate transaction.
- Notices — we may give notices to you by email to the address on your account or in the Service. You may give notices to us at hello@holomovement.net.
- Relationship — these Terms do not create a partnership, joint venture, employment, or agency relationship.
